Secretary to the Board & Chief Executive Officer – Christchurch
UniMed is seeking expressions of interest for the above position. This part-time and flexible role will suit a professional with a law (or relevant) degree and previous experience in supporting Boards. You’ll be proficient in corporate governance, offer best-practice advice and work with the Chair and the Chief Executive at our Head Office in Christchurch to play a vital part in an organisation making a positive difference.
ABOUT THE ROLE
The Secretary to the Board and CEO provides high quality, best practice governance support and advice to the UniMed Board and UniMed’s two sub-committees. The position is also responsible for providing executive support to the Chief Executive when required. Key activities include:
Working with the Chair and CEO to plan and manage Board, Committee and other key meetings including management of agendas, papers and documents and the recording of meeting minutes as the official record of board discussions, decisions, and actions
Ensuring that the Board and Committees follow proper governance procedures in accordance with UniMed’s Rules and the requirements of the Reserve Bank and Financial Market Authority and other legal requirements
Serving as the resident expert, advising executives and board directors on a broad range of best-practice corporate governance and compliance issues. Examples of such issues include director roles and responsibilities, appropriate governance practices, voting processes, subsidiary management, and legal compliance requirements
Organising orientation and training for new directors, and coordinating professional development programmes for existing directors to develop and maintain skills and keep them informed on current governance issues such as cybersecurity or new regulatory requirements
Maintaining UniMed’s organisational policies and procedures by ensuring they are regularly reviewed by relevant business areas in accordance with frameworks agreed by the Board
Assisting the CEO with development and ongoing review of UniMed’s strategic plan, annual plan and performance reporting
ABOUT YOU
Good understanding of corporate governance and law, ideally within a financial services or healthcare context
Proven experience engaging with and supporting Boards combined with the ability to understand high level constructs, identify key issues and record accurately
Tertiary qualified in law or a relevant discipline, with at least 10 years’ practical post graduate experience, or equivalent experience
Well organised with high attention to detail, able to manage own time, priorities and resources to ensure work is completed efficiently and to a high standard
A high level of ethics, confidentiality and initiative alongside a thorough and conscientious approach
