Changes to company, financial markets and other fees

Changes which are effective from 1 July 2017 have been made to the fees required for a number of transactions relating to companies, financial markets and securities.

The changes were made on 26 June 2017 by a number of regulations.

Companies registration

The Companies Act 1993 Amendment Regulations 2017 have made adjustments to fees payable to the Registrar of Companies.

The fee for an application to register a company has been reduced from $130 to $103.50, and the fee for registration of documents to effect an amalgamation has increased from $300 to $402.50.

The $25 fee for registration of an annual return has been replaced with a $20.70 fee for users of a Government to Business service (G2B), and a fee of $24.15 in all other cases.

The fee for an application to reserve the name of a company has gone from $25 (or $10 if lodged by electronic means) to $11.50. An application to restore a company to the New Zealand register now costs $172.50, down from $200.

The fee for registration of financial statements, group financial statements, and auditor's reports has changed frmo $255.55 to $201.25.

Financial reporting changes

The Financial Reporting (Levies) Amendment Regulations 2017 have reduced from $10 to $6.90 levies payable in respect of applications for registration or incorporation, or annual returns, under the Building Societies Act 1965, the Companies Act 1993, the Friendly Societies and Credit Unions Act 1982, and the Limited Partnerships Act 2008.

Financial markets reporting entities

The fee paid by reporting entities lodging financial statements under the Financial Markets Conduct Act 2013 has changed from 1 July 2017.

The Financial Markets Conduct (Fees) Amendment Regulations 2017 were made on 26 June 2017 and amend the Financial Markets Conduct (Fees) Regulations 2014.

The fee paid by reporting entities lodging financial statements under section 461H has been reduced from $255.55 to $201.25.

However, from 1 July 2017 the Financial Markets Authority (Levies) Amendment Regulations have required these reporting entities to pay a levy of $55.20 in respect of the lodging of financial statements under section 461H.

Personal Properties Securities

The Personal Property Securities Amendment Regulations 2017 have made changes to the fees which are payable in respect of the register of personal property securities. The fee for registering a financial statement has gone from $10 to $8.05 for G2B and from $20 to $16.10 for other users. The fee for renewing registration of a financing statement has gone from $10 to $8.05 for G2B and from $20 to $16.10 for other users. The fee for searching the register has gone from $1.50 to $1.15 for G2B and from $3 to $2.30 for other users.

Financial Service Providers

The Financial Service Providers (Fee) Amendment Regulations 2017 have reduced the application fee for registration as a financial service provider from $350 to $345, but have increased the fee payable in respect of the annual confirmation of a registered financial service provider's details from $60 to $86.25.
